Terms of Service

Effective October 30, 2026

These terms are the agreement between MaxDok ("we", "us") and the business that signs up for or installs DokLocker ("you"). By creating an account, starting a trial, installing the software or using the service, you agree to them on behalf of your business. If you don't agree, please don't use DokLocker. Our Privacy Policy explains how we handle information and is part of these terms.

1. What these terms cover

DokLocker is IT documentation software made by MaxDok. These terms cover the hosted service (for example app.doklocker.com), the self-hosted software you run on your own server, and the live demo. A separate written agreement you sign with us takes priority where it differs.

2. Your account

Give accurate details and keep them current. You're responsible for everyone you invite to your workspace and for what they do there, so give people only the access they need. Keep sign-in details safe, and tell us right away at [email protected] if you think your account has been misused. We strongly recommend turning on two-factor sign-in for everyone.

3. Your content

What you put into DokLocker stays yours. You give us permission to store, process, back up and display it only as needed to provide the service to you, to keep it secure, and as the law requires. You're responsible for having the right to store the information you add, including details about your own clients and their people, and for meeting any duties you owe them. If you're an IT provider documenting clients, you are responsible for your agreements with those clients.

You can export your content at any time under Admin › Import / Export.

4. Acceptable use

Don't use DokLocker to break the law or anyone's rights; store content you have no right to keep; attack, overload, probe or get around the security of the service; access other customers' data; copy, resell or reverse-engineer the software except as the law allows or a written agreement permits; get around plan limits or license keys; or send spam through features such as alerts and share links. We may remove content or suspend access that breaks these rules, and we'll tell you why unless the law or security stops us.

5. Free trial

A free trial lasts 14 days unless we tell you otherwise. No card is needed to start one. When it ends, your workspace becomes read-only until you choose a plan, so you can still see and export everything. The Privacy Policy explains how long we keep a workspace after that, and how you can ask us to delete it.

6. Plans and payment

Paid plans are billed in advance, monthly or yearly, through our payment provider, Stripe, and renew automatically until you cancel. Cancel any time under Billing; you keep access until the end of the period you've paid for. Fees don't include taxes, which we'll add where required. We don't refund partial periods unless the law requires it. We may change prices with at least 30 days' notice, taking effect at your next renewal. If a payment fails, we'll let you know; if it isn't sorted out, the workspace becomes read-only.

7. Self-hosted software

If you install DokLocker yourself, we grant you a limited, non-exclusive, non-transferable license to install and use it for your own business, within the users, clients or other limits of your license key or plan. You're responsible for your server, its security, its backups and keeping the software updated. We provide updates through our container registry. The software stays ours; this is a license, not a sale.

8. Other services, integrations and AI

DokLocker can connect to services you choose, such as RMM and PSA tools, Microsoft 365, payment, email and AI providers. Those services are run by other companies under their own terms, and we aren't responsible for them. DokBot Max and other AI features can be wrong: check their answers before you rely on them, and especially before changing a client's systems.

9. Security and availability

We take reasonable technical and organizational steps to protect the service and your content (see the Privacy Policy). We work to keep the hosted service available, but we don't promise it will never be interrupted, unless we've agreed a service level with you in writing. We may carry out maintenance, ideally outside business hours and with notice where it's planned.

10. Confidentiality

We keep your content and anything you share with us in confidence, and use it only to provide DokLocker to you. You'll treat any non-public information we share with you the same way.

11. Feedback

If you send us ideas or suggestions, we may use them to improve DokLocker without owing you anything for them.

12. Ending the agreement

You can stop using DokLocker and cancel at any time. We can end or suspend your access if you seriously or repeatedly break these terms, if you don't pay, or if the law requires it; except in urgent cases, we'll warn you first and give you a chance to fix the problem and export your content.

13. Disclaimer

Apart from what these terms say, DokLocker is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. DokLocker helps you keep records; it doesn't replace your own judgement, backups or security practices.

14. Limit of liability

To the extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, and our total liability under these terms is limited to the amount you paid us for DokLocker in the 12 months before the claim. These limits don't apply to your payment obligations, a breach of section 4, or liability that can't be limited by law.

15. Indemnity

You'll defend us against claims by others that arise from your content, or from your use of DokLocker in breach of these terms or the law, and cover the resulting costs and damages.

16. Changes to these terms

We may update these terms. If a change matters, we'll tell account admins by email or in the app at least 30 days before it takes effect. If you keep using DokLocker after that, the new terms apply; if you don't agree, you can cancel before they do.

17. General

These terms are governed by the laws of the State of Texas, USA, and disputes go to the courts there, unless the law where you are based says otherwise. If part of these terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver of it. You may not transfer these terms without our written consent; we may transfer them as part of a merger or sale of the business. Neither of us is responsible for delays caused by events beyond reasonable control.
